1. Agreement to Terms

By accessing or using the services of Jojo Dream Studio Sdn. Bhd. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service.

2. Services Offered

Jojo Dream Studio provides professional game development services including:

• Full Cycle Game Engineering: End-to-end game development from concept to live operations
• IP Worldbuilding and Visual Direction: Character design, lore development, and visual assets
• Web3 and Onchain Integration: Smart contract development, blockchain integration, and account abstraction

3. Project Engagement

3.1 Engagement Process

1. Initial consultation and requirements gathering
2. Scope definition and project proposal
3. Contract execution and payment terms agreement
4. Development phase with milestone deliveries
5. Testing, deployment, and handover

3.2 Client Responsibilities

Clients are responsible for:

• Providing timely feedback and approvals
• Supplying required assets and documentation
• Maintaining open communication channels
• Adhering to payment schedules

4. Intellectual Property

4.1 Client IP

Unless otherwise specified in writing, upon full payment, clients receive ownership of deliverables created specifically for their project.

4.2 Studio IP

Jojo Dream Studio retains ownership of:

• Proprietary frameworks, tools, and methodologies
• Pre-existing code libraries and assets
• Portfolio rights (right to showcase work publicly)

5. Payment Terms

5.1 Standard Payment Structure

• 30% deposit upon contract signing
• 40% upon milestone completion (mid-project)
• 30% upon final delivery and acceptance

5.2 Payment Methods

We accept bank transfers (Malaysian Ringgit), international wire transfers (USD), and cryptocurrency payments (USDT, ETH) for blockchain projects.

6. Confidentiality

Both parties agree to maintain confidentiality of:

• Project specifications and requirements
• Business strategies and trade secrets
• Technical implementations and source code
• Financial terms and contract details

7. Warranties and Liability

7.1 Service Warranty

We warrant that our services will be performed with professional skill and care. Bug fixes and critical issues will be addressed within 30 days of delivery at no additional cost.

7.2 Limitation of Liability

Our liability is limited to the total amount paid for the specific project. We are not liable for indirect, consequential, or incidental damages.

8. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

• Client pays for completed milestones
• Work-in-progress is delivered in current state
• Confidentiality obligations remain in effect
• IP rights transfer according to payment status

9. Governing Law

These Terms of Service are governed by the laws of Malaysia. Any disputes shall be resolved through arbitration in Penang, Malaysia, or through Malaysian courts.
